1. The agreement
These terms are an agreement between [legal name of the entity] ("DentoBlaze", "we", "us") and the clinic or practitioner that creates a DentoBlaze account ("you", the "Clinic"). The person who creates the account confirms they are allowed to accept these terms for the Clinic. By creating an account or using the Service you accept these terms and our Privacy policy.
2. The Service
DentoBlaze is web-based clinic management software available at app.dentoblaze.com, including appointments, patient records, tooth charts, case sheets, treatment plans, prescriptions, billing, inquiries, lab work, inventory, analytics, camps and online booking (the "Service"). We improve the Service over time and may add, change or retire features. If we remove a feature you rely on in a way that materially reduces the Service, we will tell you in advance.
3. Accounts and your team
- The Clinic's owner account controls the Clinic's data, settings and who has access.
- You may invite staff as owners, doctors or receptionists. You are responsible for choosing the right role, for removing access when someone leaves, and for what your users do in the Service.
- Sign-in uses one-time codes sent by email. Keep access to your email accounts secure and tell us at once at support@dentoblaze.com if you think someone has used your account without permission.
4. Your responsibilities as Data Fiduciary
For the patient and other personal data you enter into DentoBlaze, the Clinic is the Data Fiduciary under the DPDP Act. You are responsible for:
- having a lawful basis (consent or a legitimate use under the DPDP Act) for the data you collect and enter;
- giving patients the notice the DPDP Act requires and recording their consent where needed, including consent to receive WhatsApp messages;
- getting verifiable consent from a parent or lawful guardian for children where the law requires it;
- keeping records accurate, answering patients' requests to access, correct or erase their data, and handling their grievances;
- keeping clinical records for as long as the law and your professional regulations require;
- all clinical decisions, diagnoses, treatment and prescriptions. Prescriptions are issued by the prescribing doctor, who is responsible for their content and for meeting the requirements of the National Dental Commission and their State Dental Council; and
- the tax treatment, rates and GSTIN you set up for billing. DentoBlaze calculates bills from your settings but does not give tax or legal advice.
5. Data processing terms
When we process personal data on the Clinic's behalf, we act as its Data Processor and we will:
- Follow your instructions. Process the data only to provide the Service as described in these terms and as you direct through your use and settings of the Service, unless the law requires otherwise (in which case we will tell you, unless the law forbids it).
- Keep it confidential. Ensure everyone at DentoBlaze who can access the data is bound by confidentiality, and give access only to those who need it.
- Protect it. Maintain reasonable security safeguards, including encryption, separation of each clinic's data, access controls, logging and backups, as described in our Privacy policy.
- Use only approved sub-processors. Use the sub-processors listed in our Privacy policy, bind each by written terms at least as protective as these, and give you at least [30 days'] notice before adding a new one that handles clinic data. If you object on reasonable grounds, you may end the agreement before the change takes effect.
- Tell you about breaches. Notify you without undue delay, and in any case within [24 hours] of becoming aware, of any personal data breach affecting your data, and give you the information and help you need to inform the Data Protection Board of India and affected patients.
- Help with requests. Help you respond to patients exercising their rights and to any enquiry from the Data Protection Board, to the extent you cannot do so yourself through the Service.
- Keep data in India. Store clinic data in India and transfer it outside India only as Section 16 of the DPDP Act permits.
- Not use it for ourselves. Never sell clinic data, use it for advertising, or use it to train AI models. We may use aggregated statistics that cannot identify any patient, person or clinic to run and improve the Service.
- Return and delete it. Let you export your data at any time, and delete it after the account ends as set out in section 14.
- Show our compliance. Give you the information reasonably needed to show that we meet these obligations.
6. Acceptable use
You agree not to:
- use the Service for anything unlawful, or to store data you have no right to hold;
- send messages to patients who have not agreed to receive them, or send spam;
- try to access another clinic's data, probe or break our security, or overload the Service;
- copy, resell or reverse-engineer the Service, or use it to build a competing product; or
- upload malware or content that infringes anyone's rights.
7. Fees
Pricing is being finalised. [Current access terms, for example free early access]. When paid plans start, we will tell you the price in advance and you can choose whether to continue. Fees will be invoiced with GST as applicable, are payable as stated on the invoice, and are non-refundable except where these terms or the law say otherwise. We will give at least [30 days'] notice of any price change.
8. Your data
The Clinic owns the data it puts into DentoBlaze. You give us permission to host, process and display it only to provide the Service to you. You can export it at any time: everything in Excel, and bills and prescriptions as PDFs.
9. Availability and support
We work to keep DentoBlaze fast and available, but we do not promise it will be uninterrupted or error-free, and there may be planned maintenance. Support is by email at support@dentoblaze.com. [Any service level or support hours for paid plans].
10. Third-party services
Some features work with services we don't control, such as WhatsApp, UPI apps, email and printers. Patients pay the Clinic directly, for example to the Clinic's UPI ID; DentoBlaze does not receive, hold or process those payments. Your use of third-party services is governed by their own terms.
11. Our intellectual property
DentoBlaze, its software, design and brand belong to us. We give you a non-exclusive, non-transferable right to use the Service for your clinic while these terms are in effect. If you send us feedback, we may use it without any obligation to you.
12. Disclaimers
DentoBlaze is a record-keeping and practice management tool. It is not a medical device and does not give medical advice. Suggestions it makes, such as medicine doses, charges or reminders, are conveniences that the Clinic must check. Except as expressly stated in these terms, the Service is provided "as is", to the extent the law allows.
13. Liability
- Neither party is liable for indirect or consequential losses, or for lost profits, revenue or goodwill, to the extent the law allows.
- Our total liability under these terms is limited to the fees the Clinic paid us in the [12 months] before the event giving rise to the claim [and a minimum amount while access is free].
- These limits do not apply where the law does not allow liability to be limited, including for fraud.
- The Clinic will compensate DentoBlaze for claims arising from data the Clinic entered without a lawful basis, or from the Clinic's breach of these terms.
14. Suspension and termination
- You can stop using DentoBlaze and close your account at any time by writing to support@dentoblaze.com.
- We may suspend access if needed to protect the Service, other clinics or patients, or if you seriously breach these terms; where possible we will warn you first and give you time to fix the problem.
- After an account closes, you have [30 days] to export your data. We then delete clinic data from our live systems, and from backups within [a further 30 days], unless the law requires us to keep it.
- Sections that by their nature should continue (including 5, 8, 12, 13 and 15) survive termination.
15. Governing law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If that fails, the courts at [city] will have exclusive jurisdiction [or arbitration, to be decided].
16. General
- We may update these terms. We will email clinic owners at least [30 days] before material changes take effect; continuing to use the Service after that means you accept them.
- Neither party is responsible for delays caused by events beyond its reasonable control.
- If any part of these terms is unenforceable, the rest stays in effect.
- Questions about these terms: support@dentoblaze.com, or [registered address].
